Effective September 15, 2024, Lakeside Projects Solutions ("LPS") has updated these Terms of Website Use; you can review prior versions of this document here.
Terms; Application of Terms
These Terms of Website Use ("Web Terms") apply to our website found at www.lakesideps.com, as well as all websites, portals, products, and services offered by Lakeside Projects Solutions ("LPS") through such website (collectively referred to as the "Website"). Any access, use, copying, or forwarding of the Website is subject to these terms and conditions. If you, as the user, object to these Web Terms or our Privacy Policy (see below), you are not permitted to use the Website and must exit immediately, refraining from any future access.
Use by LPS Clients. Clients of LPS are permitted to use the Website as governed by, in order of priority, (i) these Web Terms, (ii) the terms of any specific agreement or terms agreed upon by the parties relating to the Client’s use of a subset of the Website or any portal, software, or other tool provided by LPS, and (iii) the terms of any written agreement, such as but not limited to a master services agreement, between LPS and the Client. Where LPS requires a login to access any Website component, a user’s seeking or obtaining a login or other credentials and using them for access constitutes that user’s acceptance of these Web Terms.
LPS may modify, remove, or add to these Web Terms and/or the Website at any time at its discretion. Any changes will be posted here, and continued use of the Website after such changes constitutes acceptance of the modified terms.
Permitted Uses of the Website.
You are permitted to download, view, copy, and print information, materials, and any other content from the Website for personal use or for your business if you are considering or exploring a business relationship with LPS. However, you are not allowed to alter any information or materials, including removing any disclaimers. Any reverse engineering, updating, tampering, or unauthorized manipulation of the Website is prohibited.
All access to and use of the Website must be lawful. Unauthorized access using another person’s login credentials, or any other unauthorized means, is prohibited. Use of automated tools, such as robots or data extraction tools, that place an excessive load on the Website is also prohibited. Duplication, reproduction, sale, licensing, or any other form of redistributing the Website content, or any use not permitted by these Web Terms, is strictly prohibited.
LPS may deny access to the Website or any portion of it, including services offered through the Website, for any reason deemed valid, including violation of these Web Terms or interference with lawful use of the Website by others.
Content of Website
The Website may include links to web pages and websites not owned or controlled by LPS. LPS is not responsible for, and you hereby release LPS from any liability related to, any linked sites, including the content, information, materials, or products/services offered on such sites. Use of such linked sites is subject to the site owner’s terms and conditions.
Intellectual Property. All content on the Website, referred to as "Content," including text, data, images, graphics, videos, software, and the Website's layout, design, color scheme, logos, and button icons, is the property of LPS or is licensed to LPS and is protected under applicable law. The "LPS" mark and logo are the proprietary trademarks of LPS; all other marks presented on the Website are the proprietary service marks or trademarks of LPS or other third parties. These marks may only be used with appropriate permission and must not be used in a way that could disparage LPS or the mark owner or cause confusion among consumers. To use any mark or name found on our Website, you must first obtain written approval from the mark’s owner. You do not gain any rights to any marks or other intellectual property through your use of or access to the Website.
User Content. If you upload information or content to certain areas of the Website ("User Content"), it shall be considered non-confidential unless otherwise agreed in writing. While you retain ownership of your User Content, by submitting any User Content, you grant LPS a perpetual, irrevocable, worldwide, non-exclusive, sub-licensable, royalty-free license to use the User Content as deemed appropriate by LPS. This includes incorporating User Content into other works in any form, media, or technology now known or hereafter developed, subject to any restrictions imposed by our Privacy Policy or any other written agreement. You agree not to provide any User Content that infringes or violates any third party's rights, expresses hate or threats, defames or libels any person or entity, is obscene or exploitative of minors, contains security risks such as viruses, or violates any applicable law.
LPS Software-as-a-Service and Mobile Software Tools
Terms of Use: Your use of LPS's platforms and tools (collectively, "LPS Tools") is conditioned upon and subject to the terms and conditions of the applicable use agreement, end user license agreement, terms of service, or similar terms governing the use of such tools.
Terms of Access: You may need to create a user profile and choose a username and password to access the LPS Tools. Access may be restricted to LPS employees, customers, service providers, and other business associates. All information provided during registration must be accurate and complete. If LPS believes the information provided is not true, accurate, or complete, access may be denied, suspended, or terminated.
Password Security: You are responsible for keeping your username and password confidential. LPS is not responsible for any losses resulting from unauthorized use of your account. If you suspect unauthorized use, notify LPS immediately at legal@lakesideps.com.
Privacy Policy: These Web Terms and any use of or access to the Website are subject to LPS's Privacy Policy. LPS Tools may also be subject to additional terms, conditions, and policies, including privacy policies.
No Warranties; Limitation of Liability
Disclaimer of Warranty: The Website is provided "as is." LPS disclaims all warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. LPS makes no representations regarding the accuracy, completeness, or reliability of the Website content.
Limitation of Liability: LPS shall not be liable for any direct, indirect, special, punitive, incidental, or consequential loss, damage, cost, or expense arising from or related to the use of the Website. If LPS is found liable, its total liability shall not exceed $100 or the purchase price of goods or content, whichever is less. These limitations apply except where prohibited by law.
Indemnification: You agree to indemnify and hold LPS and its affiliates harmless from any damages, liabilities, costs, or expenses arising from your violation of these Web Terms or any third-party rights.

You may not assign these Web Terms without LPS's consent. LPS may assign these Web Terms without your consent.
These Web Terms, along with any incorporated information, represent the entire agreement between the parties regarding the Website and supersede any prior agreements. LPS may modify these Web Terms at any time, effective the day after posting. Continued use of the Website constitutes acceptance of the revised Web Terms.
LPS may modify or discontinue the Website at any time without notice and shall not be liable for any resulting consequences.
These Web Terms are governed by the laws of the State of North Carolina, USA. You agree to the exclusive jurisdiction of the state or federal courts in North Carolina, USA for any disputes arising from these Web Terms.
You represent that you are not a citizen of an embargoed country or a prohibited end-user under U.S. export or anti-terrorism laws
If any provision of these Web Terms is found to be illegal or unenforceable, it will be limited to the extent necessary so that the remaining provisions remain in full force and effect.
LPS's failure to enforce any provision shall not constitute a waiver unless agreed to in writing.
